POSITION SUMMARY:

The Counsel-Licensing position is within Milliman's legal department and provides analysis and counsel on legal issues. This position primarily supports key business leaders in Milliman's Health division. The successful applicant will collaborate with Milliman team members to understand business goals and requirements. They will also work to ensure compliance with Milliman's legal and risk management policies.

RESPONSIBILITIES:

  • Draft, review, redline and negotiate business terms for a variety of contractual agreements, including, NDAs, SOWs, amendments, consulting service agreements, business associate agreements, master service agreements, SaaS subscriptions, SLAs, software licensing agreements and vendor agreements.
  • Review, analyze and evaluate RFP requirements and take exception to terms (as appropriate).
  • Ensures appropriate contract terms and conditions are in place to protect the financial and commercial interests of Milliman.
  • Conduct legal research as needed.
  • Identify risks and recommend/implement risk mitigation strategies.
  • Organize and maintain contracts within Milliman's legal contract management system.
  • Coordinate and participate in meetings with team members and internal clients to discuss and complete contract reviews, approvals, and other pertinent information.
  • Provide knowledge transfer, training and expertise within the legal department and with internal clients.
  • Assist with legal department projects as assigned.
  • Perform other duties as assigned.
  • Limited travel, up to 10%

SKILLS & QUALIFICATIONS REQUIRED:

  • Licensed attorney in the state of Washington or applicable jurisdiction.
  • The ideal candidate must have Four (4) years of in-house or law firm experience, with two (2) years of such experience in either a professional services firm or software company.
  • The ideal candidate must have strong organizational and time management skills, with the ability to prioritize and handle multiple projects simultaneously.
  • Must be thorough understanding of contract law.
  • Must have demonstrated experience with drafting, reviewing, redlining, and negotiating contractual agreements, specifically SaaS subscriptions and software licensing agreements.
  • Must possess strong ability to review, analyze and summarize existing & potential contract terms and provide succinct meaningful feedback, questions and recommendations to internal clients.
  • Must have intermediate working knowledge of Microsoft Word, Excel, and Outlook; working knowledge of SharePoint preferred.
  • Must have exceptional written and verbal communication skills, with the ability to convey complex legal concepts in a clear and concise manner.

SKILLS & QUALIFICATIONS PREFERRED:

  • Contract Management System experience (Agiloft preferred)
  • Understanding of regulatory requirements specific to the healthcare sector
  • Proven ability to collaborate effectively in a fast-paced, multidisciplinary environment.
  • Proactive, dynamic and result driven individual with strong attention to detail.
  • Ability to understand business strategy.

LOCATION:

This is a remote role. The expected application deadline for this job is April 30th, 2024

COMPENSATION:

The salary range for this role is $120,000 to $243,000, depending on a combination of factors, including, but not limited to, education, relevant work experience, qualifications, skills, certifications, location, etc.
